1. Introduction
Welcome to TradingBots. These Terms and Conditions (the "Terms") govern your access to and use of the TradingBots platform, website, APIs, and related services (collectively, the "Platform"). TradingBots ("we", "us", "our") is a technology service provider offering automation software for cryptocurrency trading strategies.
By creating an account, subscribing to a plan, connecting an exchange account, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
These Terms may be updated from time to time. Material changes will be communicated via the Platform or the email address associated with your account. Continued use after an update constitutes acceptance of the revised Terms.
2. Definitions
- Platform — the TradingBots website, dashboard, APIs, and automation software offered by TradingBots.
- Services — the trading-automation functionality provided by the Platform, including bot deployment, strategy configuration, execution tooling, and analytics.
- User — any individual or legal entity that registers for, accesses, or uses the Platform.
- Account Owner — the registered User with full administrative control over an account.
- Member — an additional user granted access to an account by the Account Owner, with permissions defined by the Account Owner.
- Exchange — a third-party cryptocurrency exchange (such as Coinbase, Binance) to which the User connects through API credentials.
- Strategy — the set of user-configured parameters that define how a bot analyses the market and places orders.
- Bot — an instance of automation software deployed by a User that executes a Strategy against a connected Exchange.
- Subscription — a monthly or annual paid plan granting access to specific Platform features and bot allowances.
3. Description of Services
The Platform is automation software only. Every order is the result of user-configured execution, and the Platform exercises no discretion over any User account, order, or trading outcome.
The Services enable Users to:
- Configure automated trading strategies using predefined parameters.
- Connect to one or more Exchanges via trading-only API credentials supplied by the User.
- Deploy bot instances that execute User-defined Strategies against the connected Exchange.
- Monitor performance, trade history, and portfolio analytics through the dashboard.
4. Regulatory Status and Service Scope
This section sets out the regulatory posture of TradingBots. It is critical that Users read and understand these limitations before using the Platform.
For the avoidance of doubt, TradingBots:
- is NOT a Crypto-Asset Service Provider (CASP) and does not qualify as a Crypto-Asset Service Provider under applicable EU or Greek law;
- is NOT a broker, broker-dealer, or dealer in crypto-assets or any other financial instrument;
- is NOT an exchange, trading venue, multilateral trading facility, or organised trading facility;
- is NOT a financial intermediary, investment firm, or investment adviser and does not qualify as such under MiFID II or any equivalent framework;
- is NOT a custodian or wallet provider and does not take custody of User funds or crypto-assets at any time.
4.1 Technology Provider Only
TradingBots is a technology service provider. We are not authorised, licensed, or registered as an investment firm, broker-dealer, exchange, custodian, or financial intermediary in any jurisdiction. Our Services are limited to providing automation software that executes trades on connected Exchanges strictly according to User-defined parameters.
4.2 Not a Crypto-Asset Service Provider (CASP)
TradingBots does not qualify as a Crypto-Asset Service Provider (CASP) within the meaning of the Markets in Crypto-Assets Regulation (Regulation (EU) 2023/1114, "MiCA") or any applicable Greek implementing legislation, and does not provide any of the crypto-asset services listed in MiCA Article 3(1)(16), including but not limited to: the custody and administration of crypto-assets on behalf of clients; the operation of a trading platform for crypto-assets; the exchange of crypto-assets for funds or other crypto-assets; the execution of orders for crypto-assets on behalf of clients; the placing of crypto-assets; the reception and transmission of orders; the provision of advice on crypto-assets; or the provision of portfolio management on crypto-assets.
4.3 Non-Custodial — No Execution, Clearing, or Settlement
TradingBots does not:
- Execute, clear, settle, or intermediate crypto-asset transactions.
- Act as a counterparty to any User transaction.
- Custody, hold, or control User funds, crypto-assets, or wallets.
- Operate pooled accounts, internal order books, or margin facilities.
- Offer withdrawal functionality. API keys connected to the Platform must have trading permissions only; withdrawal permissions are neither required nor supported.
All trading activity occurs directly between the User and the connected Exchange. The Platform's role is strictly limited to transmitting user-defined instructions to the Exchange via the User's own API credentials. Such functionality constitutes the technical automation of the User's own account activity and does not constitute the execution, reception, or transmission of orders on behalf of clients within the meaning of applicable regulatory frameworks, including MiCA.
The Exchange is solely responsible for order execution, matching, clearing, settlement, custody of assets, and all associated regulatory and transaction-reporting obligations (including, where applicable, CARF and tax-reporting obligations).
4.4 No Investment, Financial, Legal, or Tax Advice
TradingBots does not provide investment, financial, legal, or tax advice. All information, analytics, tools, and content provided through the Platform are for informational and automation purposes only. Specifically, the Platform does not provide:
- Investment recommendations or advice.
- Portfolio management services.
- Financial planning or consultation.
- Market analysis with investment recommendations.
- Discretionary trading services.
Users are solely responsible for evaluating whether any Strategy or trade is appropriate for their objectives, financial situation, and risk tolerance, and should consult independent qualified professionals where appropriate.
5. Account Registration & Eligibility
To use the Platform you must:
- Be at least 18 years old (or the age of legal majority in your jurisdiction, if higher).
- Have the legal capacity to enter into binding contracts.
- Not be a resident of, or located in, a jurisdiction where the Platform is restricted or where use of automated cryptocurrency trading tools is prohibited.
- Provide accurate, current, and complete registration information and keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access.
Account Owners may invite Members and define their permissions. Members may access the account only within the scope granted by the Account Owner and do not have independent administrative authority unless explicitly permitted.
6. API Access & Security
The Platform operates by connecting to Exchanges using API credentials provided by the User.
API keys supplied to the Platform are trading-only. Withdrawal permissions must NOT be enabled on any API key connected to the Platform.
By connecting an Exchange, you acknowledge and agree to the following:
- Trading-only permissions. API keys provided to the Platform must be configured with trading permissions only (i.e. read and trade/order-placement scopes). Any key with withdrawal, transfer, or asset-movement permissions must not be connected to the Platform.
- No withdrawals, ever. The Platform does not initiate, request, support, or process withdrawals or transfers of User funds or crypto-assets under any circumstance. All funds remain under the User's sole control on the Exchange at all times.
- User responsibility for key security. You are responsible for the secure generation, rotation, and revocation of your API keys, as well as for any IP whitelisting, two-factor authentication, or other controls offered by the Exchange.
- No scope verification. While the Platform requires and advises trading-only scopes, we do not inspect or verify the permissions you have granted on your Exchange. Scope selection and enforcement remain your sole responsibility.
- Revocation. You may revoke the Platform's access at any time by disabling or deleting the corresponding API key on your Exchange. The Platform will stop placing orders within a reasonable time after detecting that the key no longer authorises trading.
You agree not to circumvent, disable, or otherwise interfere with security-related features of the Platform, including rate limiting, authentication, or audit logging.
7. Subscriptions, Billing & Payments
Access to certain features of the Platform requires a paid Subscription.
7.1 Plans and Fees
The Platform offers Subscription plans on a monthly or annual basis. Current plans, features, and fees are described on our pricing page and are incorporated by reference into these Terms. Fees are quoted exclusive of any applicable VAT or other taxes, which will be added where required.
7.2 Payment and Auto-Renewal
Subscriptions renew automatically. At the end of each billing period, your Subscription will automatically renew for another period of the same length (monthly or annual) and your selected payment method will be charged the then-current rate, unless you cancel before the renewal date.
Payments are processed through our third-party payment processor (currently Stripe). By subscribing, you authorise these recurring charges. You are responsible for ensuring your payment method remains valid; failed payments may result in suspension of access.
7.3 Cancellation and Refunds
You can cancel at any time from your account settings. When you cancel:
- No further charges will be made to your payment method.
- Your Subscription remains active until the end of the current paid billing period.
- On that date, access to paid features ends and any bots requiring a paid plan will be stopped.
- Except where required by applicable consumer-protection law, fees already paid are non-refundable and are not prorated.
7.4 Changes to Fees
We may update Subscription fees from time to time. Any change will be communicated in advance and will apply at the start of your next billing period. If you do not accept a fee change, you may cancel your Subscription before it takes effect.
7.5 Taxes
You are responsible for any taxes, duties, or governmental charges applicable to your use of the Platform, other than taxes on our income.
8. User Obligations & Acceptable Use
As a User you agree that you will:
- Use the Platform only for lawful purposes and in compliance with all applicable laws, regulations, and Exchange rules in your jurisdiction.
- Be solely responsible for the Strategies you deploy, the parameters you configure, and the resulting trading activity.
- Maintain the security of your account credentials and API keys.
- Comply with the terms and conditions of any connected Exchange.
- Be solely responsible for any tax, regulatory, or reporting obligations arising from your trading activity.
You agree not to:
- Use the Platform for money laundering, terrorist financing, sanctions evasion, or any other unlawful activity.
- Interfere with, disrupt, or attempt to gain unauthorised access to the Platform, other Users' accounts, or the systems of connected Exchanges.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform, except to the extent such restriction is prohibited by law.
- Engage in market manipulation, wash trading, spoofing, layering, or any other abusive trading practice.
- Use the Platform to provide regulated investment services to third parties.
9. Risk Disclosure
HIGH-RISK ACTIVITY WARNING: Automated trading of crypto-assets is a high-risk activity that can result in significant financial losses, including the total loss of invested capital. You should not use the Platform with funds you cannot afford to lose.
9.1 Technology and System Risks
- Software malfunctions or bugs in trading algorithms.
- Internet connectivity failures or latency issues.
- Exchange API failures, rate limiting, or changes to API behaviour.
- Server downtime, maintenance windows, or infrastructure outages.
- Data-feed interruptions or market-data inaccuracies.
9.2 Market and Trading Risks
- Extreme market volatility and price gaps.
- Low-liquidity conditions, slippage, and partial fills.
- Flash crashes and market manipulation.
- Regulatory changes affecting trading or the legality of crypto-assets in your jurisdiction.
- Exchange-specific risks, including operational failures and the potential insolvency of the Exchange.
Past performance (including any backtest, paper-trading result, preset statistic, or demo output shown on the Platform) is not indicative of future results and does not guarantee any outcome.
10. Limitation of Liability
To the maximum extent permitted by applicable law, TradingBots, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, loss of revenue, loss of data, or loss of trading opportunity — arising out of or in connection with:
- Your use of, or inability to use, the Platform.
- System failures, downtime, bugs, or technical malfunctions.
- Third-party Exchange outages, API issues, or connectivity problems.
- Market volatility or adverse trading outcomes.
- User configuration errors, misuse of Strategies, or Strategy performance.
- Unauthorised access to your account or API keys resulting from your failure to secure them.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for fraud, gross negligence, or personal injury caused by wilful misconduct).
11. Indemnification
You agree to indemnify, defend, and hold harmless TradingBots, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform or the Services.
- Your Strategies and any trading activity executed on your behalf based on your configuration.
- Your breach of these Terms or of any applicable law, regulation, or Exchange rule.
- Your infringement of any intellectual-property or other right of any third party.
12. Termination & Suspension
You may terminate your account and cancel your Subscription at any time through your account settings. Termination takes effect at the end of your current paid billing period unless otherwise required by applicable law.
We may suspend or terminate your access to all or part of the Platform, with or without notice, if we have a reasonable basis to believe that:
- You have materially breached these Terms.
- Your use of the Platform creates a security, legal, regulatory, or operational risk to us, other Users, or an Exchange.
- Continued provision of the Services is prohibited by applicable law or by order of a competent authority.
Upon termination: (a) your right to access the Platform ceases immediately; (b) you remain responsible for any fees accrued up to the effective date of termination; (c) provisions that by their nature survive termination (including Sections 4, 9, 10, 11, and 15) shall remain in effect. Data-retention and deletion are handled as described in our Privacy Policy.
13. Intellectual Property
The Platform — including its software, design, trademarks, logos, content, and documentation — is owned by TradingBots or its licensors and is protected by applicable intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own personal or internal business trading purposes.
You retain ownership of the configuration data, Strategy parameters, and trading history associated with your account. By submitting such data to the Platform, you grant us a limited licence to process it solely for the purpose of operating and improving the Services.
All rights not expressly granted in these Terms are reserved. You may not copy, modify, distribute, sell, or sublicense any part of the Platform except as expressly permitted by these Terms or by applicable law.
14. Privacy & Data Protection
Our collection and processing of personal data are described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Platform, you acknowledge that you have reviewed those documents.
To exercise your data-protection rights (including access, correction, deletion, and portability), you may use the Data Requests tool in your dashboard or contact us as described in the Privacy Policy.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Greece, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms, or the use of the Platform, shall be subject to the exclusive jurisdiction of the competent courts of Greece, save for any mandatory consumer-protection rights that entitle a consumer to bring proceedings before the courts of their place of residence.
